I read the civil code thoroughly (Mississippi Title 45) that deals with definitions of firearm crimes, CCW, and dealer sales/transfers. (It's here if anyone's interested):

However, I haven't been able to find any rules or laws for private party transactions within the state.

1) Is a FFL transaction required for two Mississippi residents?
2) Is there a waiting period when purchasing from a dealer?
3) After all FFL forms are filled out, is there a waiting period for gun purchases from out of state?

I think you'll find our laws are very relaxed. The reason you didn't find any laws regarding private party transaction is because the're aren't any, except for the ones regarding not giving firearms to minors under 18 and the list of exceptions. we don't have registration or any crap like that here. so, short answer to your questions:

1) no.

2)no.

3) not sure what you mean, I assume your not a MS resident, but IIRC under federal law FFLs can only sell in their state and states that physically touch theirs, all others have to be transfered through a dealer. but no, we don't have any waiting period of any kind here.
